Terms and Conditions

By purchasing, subscribing to, or accessing any N@Skills or N@U Limited online courses, learning libraries, downloadable resources, videos, educational tools and subscription Services (collectively referred to as the ‘Services’), you agree to these Terms and Conditions (‘Terms’). These Terms apply to all online products, learning tools, and subscription-based resources provided by N@U Limited.
1. General Information
Nothing in these Terms limits your rights under the New Zealand Consumer Guarantees Act 1993 or the Fair Trading Act 1986, where these laws apply. If you are located outside New Zealand, your local consumer protection laws may also apply.
2. Eligibility
You must be at least 18 years old or have the consent of a legal guardian to enrol in and use the Services. By enrolling, you confirm that you meet this requirement.
3. N@Skills Content
The N@Skills content includes instructional materials, videos, readings, and health-related recommendations. All materials are provided for educational purposes only. While we aim to offer accurate and helpful information, the Services are not a substitute for professional medical advice or diagnosis.
4. Health Recommendations
The Services may include general recommendations related to well-being, mental health, and strategies for improving daily functioning for neurodiverse individuals. These recommendations are intended to enhance the learning experience and promote a healthier lifestyle.
Important: Health advice is not a replacement for professional medical care. Always consult with a healthcare provider before making any changes to your lifestyle, diet, exercise, or medication regimen.
The service creators and instructors are not licensed medical professionals, and their health-related suggestions are based on general research, not individualized health assessments.
5. Services Access and Subscription
5.1 Free Trial
The N@U Study Skills Library is offered with a three (3) day free trial. Your free trial begins when you complete the registration process.
5.2 Subscription Charges
Unless you cancel your subscription before the end of the free trial period, the payment method you provided during registration will be automatically charged the applicable subscription fee.
5.3 Pricing and Payment
All prices are listed in New Zealand dollars (NZD) and are subject to Goods and Services Tax (GST) where applicable. Payments are processed securely through our payment provider.
5.4 Recurring Payments
Following the initial payment, your subscription will automatically renew on a monthly or yearly basis (depending on the subscription selected at registration) until cancelled.
5.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation prevents future subscription charges. Cancellation does not affect charges that have already been processed or restore any unused portion of a billing period unless required by law.
5.6 Access
Access to the N@U Study Skills Library continues while your subscription remains active. If your subscription ends or is cancelled, access to subscription content will cease at the end of the current paid period unless otherwise stated.
5.7 Licence
Your subscription provides you with a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your own personal educational purposes only.
You may not share, reproduce, distribute, transfer, sell or otherwise make available any part of the Services without N@U Limited's prior written consent.
5.8 Failed Payments
If a subscription payment cannot be successfully processed, N@U Limited may suspend access to the Services until payment has been received.
6. User Responsibilities
You are responsible for maintaining the confidentiality of your account login details and for all activities under your account. You agree to notify us immediately if you suspect any unauthorized use of your account.
Prohibited Conduct
You agree not to:

Reproduce, distribute, or share Service materials without permission.

Use the Services for any unlawful, harmful, or fraudulent purposes.

Attempt to decompile, reverse-engineer, or disassemble any part of the Services.
7. Intellectual Property
All content forming part of the Services, including text, images, videos, PDFs, downloadable resources, graphics and other materials, is owned by or licensed to N@U Limited. No ownership rights are transferred to you by purchasing or accessing the Services.
8. Privacy and Data Protection
Your personal information is collected, stored and used in accordance with our Privacy Policy
9. Refund Policy
Subscription fees are generally non-refundable once payment has been processed following the free trial, except where required by the Consumer Guarantees Act 1993 or other applicable law.
Refunds will be processed in accordance with the Consumer Guarantees Act 1993, where applicable. Refunds are not available for change of mind once significant content has been accessed.
10. Limitation of Liability
The Services provider is not liable for any direct, indirect, incidental, consequential, or special damages arising from your use of the Services or its content.
You are solely responsible for how you apply any health-related advice provided in the Services.
The service provider makes no guarantees regarding the results or outcomes of the health recommendations and educational content.
To the extent permitted by law, N@U Limited’s total liability for any claim arising from your use of the Services will not exceed the amount you paid for the Services.
11. Health Disclaimers
The Services may reference general information about neurodiversity and its associated conditions, but it does not provide clinical diagnoses.
The health and well-being advice provided within the Services should not be used as a substitute for professional medical advice. You should seek the advice of your healthcare provider before implementing any health strategies on our website platform.
If you are experiencing any physical, mental, or emotional health challenges, please consult a licensed healthcare professional immediately.
12. Behaviour and Conduct
You agree to conduct yourself in a respectful and appropriate manner during all aspects of the Services. Disruptive behaviour, harassment, or any form of abuse will not be tolerated, and your access to the Services may be suspended or terminated if such behaviour is observed.
13. Amendments to Terms
The Service provider reserves the right to amend these Terms from time to time. Updated Terms will apply to future use of the Services after they have been published or notified. Any changes will be communicated to you via email or on the Website platform. Continued use of the Services after any changes indicates your acceptance of the modified Terms.
14. Suspension or Termination
N@U Limited may suspend or terminate your access to the Services if you breach these Terms, including by:

reproducing, distributing, or otherwise misusing the Services or their content without permission;

engaging in conduct that compromises the security, operation, or integrity of the Services.
Suspension or termination under this clause does not limit any other rights or remedies available to N@U Limited under these Terms or applicable law.
15. Failed Payments
If a subscription payment cannot be processed, N@U Limited may suspend access to the Services until payment has been successfully received.
16. Third-Party Services
The Services may use third-party providers including payment processors, email platforms and learning platforms. These services operate under their own terms and privacy policies.
17. Dispute Resolution
If you have a concern or dispute, please contact us first so we can attempt to resolve the matter before formal legal proceedings.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of Aotearoa/ New Zealand. Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts in Aotearoa/ New Zealand.
17. International Users
Our Services are offered from New Zealand. Users outside of New Zealand are responsible for ensuring their use complies with their local laws.
18. Availability
While N@U Limited will use reasonable efforts to keep the Services available, uninterrupted access cannot be guaranteed. Maintenance, updates or technical issues may occasionally affect availability.
